Arca Nova Acquisition Corp intends to pursue business combination in agentic AI platforms sector.

“We intend to pursue our initial business combination within the digital asset ecosystem, focusing on three structurally distinct but converging sectors: Agentic AI platforms, stablecoin payment rails, and institutional digital yield platforms. We believe each of these industries is cash-flow generative, amplified by Bitcoin adoption, and positioned to benefit from increasing regulatory clarity and enterprise demand. These three industries — Agentic AI, stablecoin rails, and digital yield — are converging at the same balance sheet moment. Enterprises deploying agentic AI require efficient settlement infrastructure; stablecoin rails benefit from yield-generating collateral pools; and digital yield platforms are strengthened by AI-driven risk management. Arca Nova is designed to stand at this convergence point, leveraging sponsor credibility, sector expertise, and capital-markets access to identify and scale businesses that will define the next decade of digital infrastructure.”

Arca Nova Acquisition Corp describes agentic AI market growth and opportunity to acquire platforms.

“Agentic AI refers to autonomous software agents capable of executing multi-step workflows with minimal human oversight, increasingly deployed in enterprise environments for customer support, trading, and IT operations. According to the Agentic Artificial Intelligence Market Report published by Fortune Business Insights last updated in April 2026 1 , the global agentic AI market was valued at USD 7.29 billion in 2025 and is projected to grow from USD 9.14 billion in 2026 to USD 139.19 billion by 2034, exhibiting a compound annual growth rate (CAGR) of 40.50% during the forecast period. This growth reflects the proliferation of large language models, orchestration frameworks, and enterprise adoption of autonomous decision-making. For us, this sector represents a high-growth opportunity to acquire platforms that can scale into enterprise procurement channels and generate recurring subscription or transaction-based revenues.”

Arca Nova plans to originate deal flow in agentic AI platforms among other verticals.

“Our affiliation with DDC Enterprise Limited, a publicly listed company with demonstrated capital-markets access and an established advisor network across Asia, provides Arca Nova with immediate credibility in conversations with target management teams, institutional PIPE investors and commercial partners. That affiliation enhances our ability to originate proprietary deal flow in the three priority verticals identified in our sponsor’s strategic roadmap — agentic AI platforms, stablecoin payments rails and digital yield businesses — while the SPAC vehicle preserves the sponsor’s balance sheet and concentrates execution risk at the acquisition level.”

Arca Nova seeks opportunities in agentic AI platforms emerging in Asian markets.

“Arca Nova benefits from DDC’s established presence in Asia and its global capital-markets profile, which together create a distinctive advantage in sourcing and scaling cross-border transactions. Many of the most promising opportunities in agentic AI, stablecoin payments, and digital yield platforms are emerging in Asian markets, where regulatory frameworks, consumer adoption, and institutional demand are evolving rapidly. By combining local market knowledge with access to U.S. public capital, Arca Nova is uniquely positioned to bridge these ecosystems. This geographic reach not only expands the pool of potential targets but also enhances the ability to support portfolio companies in entering new markets, building international partnerships, and accessing diverse investor bases. The ability to operate credibly across jurisdictions strengthens Arca Nova’s competitive positioning and increases the likelihood of identifying businesses that can achieve durable global scale.”

DDC is developing an AI-driven treasury intelligence platform but does not operate agentic AI platforms as multi-tenant enterprise products.

“To the best of our and our management’s knowledge and belief, and based on publicly available information, DDC currently operates as a global Asian food platform that has adopted Bitcoin as a core treasury asset and is developing an AI-driven treasury intelligence platform primarily for the management of its corporate Bitcoin reserve, rather than as a standalone commercial agentic AI platform, stablecoin payment rail or institutional digital yield business of the type we intend to target for our initial business combination. DDC has described itself as a digital asset treasury company spearheading a corporate Bitcoin treasury strategy and has disclosed that it is building the DDC Treasury Intelligence Platform, an AI-driven operating system designed to optimize DDC’s Bitcoin treasury management and that may in the future support broader internal decision systems across DDC. As of the date of this prospectus, and to the best of our and our management’s knowledge and belief, DDC does not directly operate agentic AI platforms deployed as multi-tenant enterprise products, stablecoin payment rail businesses or institutional digital yield platforms that provide lending and structured credit products to third-party institutional clients in the manner described under “Proposed Business” beginning on page 119 of this prospectus.”
